By accessing or using useoja.com ("Oja", "we", "us", or "our"), including our website, mobile applications, merchant dashboard, and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms apply to all users: buyers, merchants, visitors, and affiliates. Additional terms may apply to specific features (e.g., merchant agreements, payment terms). By using those features, you agree to the applicable additional terms.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for lawful commercial and personal purposes, subject to these Terms.

• You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• You may not share your account, sell access, or allow others to use your account for unauthorized purposes.
• We reserve the right to suspend or terminate accounts that violate these Terms or pose a risk to our platform or users.

You may not copy, modify, distribute, sell, or create derivative works from our platform, content, or software without our prior written consent.

If you operate a store on Oja, you agree to:

• Provide accurate product descriptions, pricing, and images; not mislead buyers.
• Fulfill orders promptly and communicate clearly about shipping and delivery.
• Comply with all applicable laws, including consumer protection, tax, and export regulations.
• Not list prohibited items (e.g., counterfeit goods, illegal products, restricted items).
• Honor refund and return policies as stated in your store and our platform policies.
• Pay applicable fees, commissions, and subscription charges as per our pricing and billing terms.

As a buyer, you agree to:

• Provide accurate shipping and payment information.
• Pay for orders you place; chargebacks and fraudulent disputes may result in account suspension.
• Use the platform in good faith; not abuse returns, reviews, or support systems.
• Respect intellectual property; not copy or resell content without permission.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or secure. We are not responsible for the quality, safety, or legality of products sold by third-party merchants on our platform. Transactions are between buyers and merchants; we act as an intermediary.

Materials on our website (including product listings, descriptions, and images) may contain technical, typographical, or photographic errors. We do not warrant that such materials are accurate, complete, or current.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OJA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OJA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED THOUSAND NAIRA (₦100,000).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability; in such cases, our liability will be limited to the maximum extent permitted by law.

Oja and its licensors own all rights, title, and interest in and to the Services, including the Oja name, logo, design, software, and content (excluding user-generated content). You may not use our trademarks, logos, or branding without prior written permission.

You retain ownership of content you submit (e.g., product listings, store descriptions). By submitting content, you grant Oja a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content in connection with operating and promoting our Services.

You may close your account at any time through your account settings. We may suspend or terminate your access to our Services, with or without notice, for any reason, including violation of these Terms, fraud, or to protect our platform and users.

Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive (e.g., disclaimers, limitations of liability, dispute resolution) shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of our Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be submitted to the exclusive jurisdiction of the courts of Nigeria.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and, where appropriate, sending an email or in-app notification.

Your continued use of our Services after such changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using our Services and may close your account.
